Subcontractor Agreement

1. Scope of Work

The Subcontractor agrees to provide the following services:

• Disability Support Work

All services must comply with the National Disability Insurance Scheme (NDIS) standards and any specific guidelines provided by Shine Disability Care.

2. Term

This Agreement begins immediately upon signing and continues until terminated by either Party in accordance with Section 9.

3. Compensation

The Principal Contractor agrees to pay the Subcontractor:

Any services provided outside normal hours will be negotiated on a case-by-case basis.

Payment will be made within 7 days of receiving an accurate invoice. Invoices must include:

• Dates of service
• Details of services provided

4. Obligations of the Subcontractor

The Subcontractor agrees to:

• Perform all services professionally, ethically, and competently.
• Maintain current and valid insurance (public liability and professional indemnity) and provide proof upon request.
• Hold all required certifications, including NDIS Worker Screening clearance and relevant qualifications.
• Adhere to Shine Disability Care's policies, procedures, and all applicable laws.
• Maintain confidentiality of all client information as per Shine Disability Care's privacy policy.

5. Non-Compete

During the term of this Agreement and for 12 months after its termination, the Subcontractor agrees not to:

• Solicit, provide services to, or engage in a business relationship with any Shine Disability Care participant, except through Shine Disability Care.
• Induce or attempt to induce any participant, client, or employee to leave or reduce their relationship with Shine Disability Care.

6. Relationship of the Parties

The Subcontractor is an independent contractor and not an employee, agent, or partner of Shine Disability Care. The Subcontractor is responsible for:

• Their own tax obligations
• Superannuation
• Insurance and other employment responsibilities

7. Confidentiality

Shine Disability Care will:

• Keep all business and client information confidential.
• Not disclose confidential information without written consent, unless legally required.

8. Indemnity

The Subcontractor indemnifies and holds Shine Disability Care harmless from any claims, liabilities, or losses arising from their services, except where due to the Principal Contractor's negligence.

9. Termination

This Agreement may be terminated by either Party with 7 days' written notice. Immediate termination may occur if:

• There is a breach of this Agreement.
• The Subcontractor engages in misconduct or unlawful behaviour.
• The participant being supported is no longer with Shine Disability Care.

Early Termination Consequences: If terminated early outside these provisions, Shine Disability Care reserves the right to seek compensation for lost work and may pursue damages for participant loss.

10. Entire Agreement

This Agreement represents the full understanding between the Parties and replaces all prior agreements or discussions.

11. Governing Law

This Agreement is governed by the laws of Queensland, Australia.
